Under the decision n. 28622 made at the meeting held on 30 March 2021, ending proceeding no. C12360 (hereinafter referred to as Decision), the Italian Competition Authority (hereinafter referred to as Authority) approved the business combination consisting in the acquisition of sole control over Infrastrutture Distribuzione Gas S.p.A. by 2i Rete Gas S.p.A. (hereinafter referred to as 2iRG).
Pursuant to said Decision, in a notice published on 1 June 2021, 2i Rete Gas S.p.A. initiated a process to divest the natural gas distribution operation in the Rome 4 Minimum Territorial Area.
Following the above, 2i Rete Gas S.p.A.

that it has not identified a suitable buyer. Therefore, pursuant to the mentioned Decision, 2i Rete Gas S.p.A. will take the behavioural measures under point B. of said Decision within the Rome 4 Minimum Territorial Area.
