The Board of Directors of 2i Rete Gas S.p.A., which met on 25 September 2024, approved the update of the Organisation, Management and Control Model pursuant to Legislative Decree 231/01 (MOG) with regards to new or updated offences relevant to the Company’s business. On this occasion, the description of the Company’s organisational structure was also updated to reflect the most recent organisational changes.

The new version of the Model incorporates some changes introduced by the Legislator with reference to pre-existing offences, as well as some new offences recently introduced and for which it was necessary to carry out the appropriate analysis regarding the relevance in relation to the company’s activities and the safeguards aimed at preventing the conduct contemplated by these new offences.  

In particular, these are the new provisions of Law No. 90 of 28 June 2024, which came into force on 17 July 2024, concerning the “provisions on the strengthening of national cybersecurity and computer crimes”.

In addition, the Model has been updated in relation to:

• the introduction, by virtue of Decree-Law No. 19 of 2.3.2024, converted into Law No. 56 of 29.4.2024, of the second paragraph of Art. 512 bis of the Italian Criminal Code (fraudulent transfer of valuables);
• the repeal of art. 323 of the Italian Criminal Code (abuse of office) and the amendment of art. 346-bis of the Italian Criminal Code (trafficking in illicit influence), by virtue of the entry into force of Law no. 114 of 9.8.2024;
• the entry into force of art. 314-bis of the Italian Criminal Code (misappropriation of money or movable property) by virtue of Law No. 112 of 8.8.2024.
